    One director on a Delaware corp is still legal correct?

    We had 3 and now have just me, is that okay?

    I wish to inform you that in Delaware the statue which governs the law pertaining to corporates is the Delaware General Corporation Law under Title 8 of Chapter 1 of Delaware Code. Under this law, a for profit Corporation in Delaware may have all offices held by a single person. Therefore, one director is sufficient to meet the requirement of law in Delaware. It may be further added that in Subchapter IV § 141(b) it is provided that if the number of directors is fixed in the certificate of incorporation than the number of directors can be changed only by amending the certificate of incorporation.
